PROMOTION

General terms and conditions of sale

  1. The aim of these general terms and conditions is to set out the terms of orders for promotions placed by the publisher with AMP.
  2. Any submission of an order for a promotion implies acceptance of these terms and conditions for the promotion.
  3. Except where there is a specific agreement to the contrary, set out in writing between AMP and the publisher, invoices become due for payment 30 days from the invoice date. Any invoice that remains unpaid after this period will be increased automatically, without formal demand and due solely to the fact that there is default of payment, by interest accrued at the rate of 1% per month from the due date, as well as by a fixed indemnity of 10% of the amount invoiced.
  4. Promotion booking requests must be sent by the publisher’s Account Executive to the promotions department at AMP by fax or e-mail. AMP’s promotions department will make a record of the provisional booking option for the promotional space available in the network to be used for the promotion required by the publisher.
  5. A confirmation e-mail or duly signed price quote is equivalent to a purchase order and constitutes a final order.
  6. The rates stated in the price quote do not include the production costs relative to the promotion (e.g. for producing promotional panels or posters). AMP may accept responsibility for the production of promotional tools such as posters, panels or other items provided a PDF file reaches it a minimum of 15 working days prior to the beginning of the promotion. The prices for this type of promotional tool are available on request.
  7. The rates stated in the price quote sent to the publisher are valid until the end of the year underway and exclude VAT.
  8. For every initial order placed with AMP, the publisher will be required the total amount for the first promotional investment in advance. The promotional campaign will be implemented as soon this payment is received.
  9. Final orders must reach AMP at the latest 30 days before the start date of the planned promotion. Any modification to visual elements to be used in the title that is the subject of the promotion must be submitted to AMP within a period of 15 days prior to the planned promotion date. AMP reserves the right to accept or reject this modification.
  10. Any request for a modification or cancellation of the order must be sent in writing to AMP and will only take effect once the request has been accepted.
  11. The cancellation of an order for a promotion can only be accepted if it is made at least 15 days before the date of the planned promotion. For any cancellation of an order for a promotion made within the 15-day period prior to the date of the planned promotion, a charge of 25% of the amount stated on the purchase order will be invoiced to the publisher. For cancellations made within 7 days prior to the date of the planned promotion, a charge 45% of the amount stated on the purchase order will be invoiced to the publisher.
  12. If the publisher has sent a request for a promotion to AMP that has not been confirmed by a firm order 15 days before the start of the promotion and another publisher requests a booking for the same period, AMP will ask the publisher that has taken the option to confirm it within 24 hours. If confirmation is not forthcoming within the period stated, AMP reserves the right to allocate the promotional space booked to the other publisher.
  13. Should an event occur that constitutes force majeure, including a strike, natural disaster, sit-in, impediment imposed by the authorities or power cut, that makes it impossible for the promotion to take place, AMP’s liability may not be invoked and no claim for compensation may be made.
  14. Any complaint relating in particular to the technical aspects of the promotion must be made by registered letter with acknowledgment of receipt sent to AMP and giving precise details of the grievances in question. Failure to do so will render the complaint inadmissible. Any such complaint must be sent within eight days of the beginning of the promotion, otherwise it will not be taken into consideration. AMP will accept no liability for any damage suffered by the publisher arising from technical elements submitted by the publisher pertaining to the title that is the subject of the promotion.
  15. Whatever the circumstances, AMP’s liability may not exceed the total amount of the final order for the promotion.
  16. Any dispute arising from either the interpretation or fulfilment of these general terms and conditions for promotions will come under the jurisdiction of the Courts in Brussels, which will hear and rule on the matter in French. Belgian law only will apply.
